Terms and Conditions

1. Agreement to these terms

These Terms and Conditions ("Terms") form an agreement between you andJDG SOFTWARE SAS ("JDG Software", "we", "us"), a company incorporated in Colombia under NIT 901.834.584. By accessing our website at jdgsoftware.com, connecting an account to one of our applications, or otherwise using our services, you accept these Terms. If you do not accept them, please do not use the services.

If you accept these Terms on behalf of a company or other organisation, you confirm that you have the authority to bind that organisation.

2. The services

JDG Software is a software development studio. Our services include this informational website, and applications we publish that integrate with third-party platforms such as Instagram. Client projects — custom development, consulting and ongoing support — are governed by a separate written agreement. Where that agreement conflicts with these Terms, the signed agreement prevails for that engagement.

We may add, change, suspend or withdraw features at any time. We aim to give reasonable notice of any change that materially reduces functionality you rely on.

3. Eligibility and accounts

You must be at least 18 years old, or the age of majority where you live, to use our services. You are responsible for the accuracy of the information you provide, for keeping any credentials secure, and for all activity that takes place under your account. Tell us promptly athello@jdguzmans.com if you suspect unauthorised access.

4. Instagram and Meta integrations

Some of our applications connect to Instagram through APIs provided by Meta Platforms, Inc. When you connect an account:

• You confirm that you own the account, or that you are authorised by its owner to connect it and to grant the permissions requested.
• You authorise us to access and process data from that account as needed to provide the features you have enabled, as described in ourPrivacy Policy.
• Your use of Instagram remains subject to Meta's own terms and policies. Nothing in these Terms overrides them, and you are responsible for complying with them.
• You may disconnect at any time from within the application or from your Instagram settings. See ourData Deletion page for what happens to your data afterwards.

JDG Software is an independent company. We are not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. or any of its group companies. Meta may change or withdraw its APIs at any time, which can affect or interrupt integration features through no fault of ours.

5. Acceptable use

You agree not to:

• Use the services in breach of any applicable law or third-party rights.
• Send unsolicited, deceptive, harassing or otherwise abusive messages through any messaging feature we provide.
• Attempt to gain unauthorised access to our systems, probe or scan our infrastructure, or interfere with its normal operation.
• Reverse engineer, decompile or attempt to derive the source code of our software, except to the extent the law expressly permits.
• Scrape, harvest or resell data obtained through the services, or use it to build a competing product.
• Upload malware, or content that is unlawful, infringing or harmful.

We may suspend or terminate access immediately if we reasonably believe this section has been breached.

6. Intellectual property

The website, our applications, and all software, text, design, graphics and branding they contain are owned by JDG Software or its licensors and are protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the services for their intended purpose. No other rights are granted.

You retain ownership of the content and data you submit or connect. You grant us a limited licence to host, process and display that content solely to operate the services for you. Ownership of deliverables produced in a client engagement is determined by the applicable written agreement.

7. Fees

Access to this website is free. Where a service carries a fee, the amount, billing period and payment terms are set out in the relevant order form, proposal or contract. Unless stated otherwise, fees exclude taxes, which are your responsibility.

8. Third-party services

Our services may link to or depend on third-party products. We do not control those products and are not responsible for their content, availability or practices. Your use of them is governed by their own terms.

9. Disclaimers

To the fullest extent permitted by law, the services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the services will be uninterrupted, error-free, or that any defect will be corrected. Content on this website is provided for general information and is not professional advice.

10. Limitation of liability

To the fullest extent permitted by law, JDG Software and its directors, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, nor for any loss of profits, revenue, data, business or goodwill, arising out of or relating to your use of the services.

Our total aggregate liability arising out of or relating to these Terms is limited to the greater of the amounts you paid us for the services in the three months preceding the event giving rise to the claim, or one hundred United States dollars (USD 100). Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud or for wilful misconduct.

11. Indemnity

You agree to indemnify and hold JDG Software harmless from any claim, liability, loss or expense, including reasonable legal fees, arising from your use of the services, your content, or your breach of these Terms or of any applicable law or third-party rights.

12. Suspension and termination

You may stop using the services and disconnect any linked account at any time. We may suspend or terminate access if you breach these Terms, if required by law or by a platform provider, or if we discontinue the service. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnity and governing law — will continue to apply.

13. Changes to these terms

We may update these Terms from time to time. The revision date at the top of this page reflects the current version. Material changes will be announced on this page before they take effect, and continuing to use the services after that date means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the Republic of Colombia, without regard to conflict-of-law rules. The courts of Colombia have exclusive jurisdiction over any dispute arising from them, except where mandatory consumer protection law entitles you to bring proceedings elsewhere.

15. General

If any provision of these Terms is found unenforceable, the remaining provisions stay in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with the Privacy Policy and any signed agreement, constitute the entire agreement between us.
